Attorney QIAO focuses her practices on private equity fund management (including fundraising, investment, management, and exit strategies), equity structure design and incentive plan formulation for start-ups, cross-border investments, and M&A, along with civil and commercial dispute resolution (ranging from various contractual disputes, investment and financing conflicts, equity controversies, company-related litigations to issues concerning entertainers).

Attorney QIAO boasts a wealth of experience in both contentious and non-contentious legal matters, with her practice evenly split between litigation (including arbitration) and non-litigation work. Leveraging dual perspectives from litigation and non-litigious engagements, she excels in delivering pragmatic legal solutions that are executable and effective for clients. Her legal services span a comprehensive range, including but not limited to frontend issues of transaction structuring, legal due diligence, drafting, reviewing and negotiation of transaction documents, provision of legal opinions, assistance with requisite government approvals for deal completion, regular legal adviser services, and full-service dispute resolution for backend issues. The projects she has led cover a multitude of sectors, such as cultural entertainment, education, energy, artificial intelligence, high-end manufacturing, TMT (technology, media, telecommunications), IoT, consumer goods, and healthcare. The notable clients attorney QIAO has represented include industry giants like China National Petroleum Corporation (CNPC), Mengniu Dairy, Kweichow Moutai, Sequoia Capital, Beijing Cultural Investment Fund, Houde Fund, Bona Film Group, TAL, Modernsky, Xiaohongshu, Longyuan Power Technology (SZ300105), Baination (SZ300291), TJ Pharma, Naton Medical, and prominent figures in the entertainment sector.

In the area of civil and commercial dispute resolution, attorney QIAO, acting as the lead counsel, has represented clients in a multitude of civil and commercial dispute litigation cases before courts at various levels across numerous regions in China, including Beijing, Tianjin, Shandong, Guangdong, Hubei, Guizhou, Inner Mongolia, Henan, and more. She has also handled arbitration cases at institutions such as the China International Economic and Trade Arbitration Commission (CIETAC) and the Shenzhen Court of International Arbitration (SCIA), encompassing a broad spectrum of disputes, including those related to contracts (film and television investment, construction, equipment procurement, leasing, investment advisory, lending, etc.), private equity investments, company-related issues, labor conflicts, negotiable instrument claims, artist-related matters, and inheritance, among others. Notable clients she has served include Beijing Cultural Investment Fund, Houde Fund, Jumei Film and Television Media, prominent artists (such as Carman Lee), internet celebrities, high net worth individuals, Baination (stock code 300291), and Longyuan Power Technology (stock code 300105).

Within the private equity (VC/PE) and cross-border investment and M&A areas, attorney QIAO has advised numerous clients, including Fortune Global 500 companies, central and state-owned enterprises, renowned funds, and large private enterprises, on over a hundred transactions. These transactions involved the establishment and restructuring of foreign-invested enterprises, overseas investments by Chinese firms, fund manager registration and fund (including QFLP funds) filing, VC/PE investment and financing (including equity restructuring and red-chip structure setup and dismantling), across industries such as culture and entertainment, sports, education, AI, energy and minerals, biopharmaceuticals, hard tech, and e-commerce. Representative clients have included China National Petroleum Corporation, Kweichow Moutai, Sequoia Capital, Houde Fund, Bona Film Group, Modernsky, Long Invest, TJ Pharma, and Naton Medical.

In the area of corporate compliance, attorney QIAO has represented numerous Fortune Global 500 companies, including globally renowned pharmaceutical, oil and gas, and manufacturing enterprises, conducting training, risk assessments, internal investigations, and compliance policy development concerning anti-bribery laws and precedents in the U.S., EU, and China, as well as World Bank sanction systems. She possesses extensive experience in data privacy and cybersecurity compliance, having assisted several prominent multinational corporations, such as Japan’s NTT DATA, Expedia, TAL, and Lilith Games, in addressing their data compliance requirements. Attorney QIAO has also served Mengniu Group in its collaborations with U.S. Universal Studios and Disney, providing bilingual legal services for drafting transaction documents and negotiating deals in both English and Chinese. These deals pertain to Mengniu’s exclusive production and supply of co-branded ice cream, yogurt, and dairy products for “Universal Beijing Resort” and “Shanghai Disneyland,” including IP licensing and strategic partnership arrangements. She has further represented TAL in copyright cooperation and related licensing matters with distinguished publishing houses in the UK and the U.S., offering full-range legal services including document review and negotiations in both languages. For consecutive years, attorney QIAO has provided ongoing legal services to the market-oriented and new media/MCN operation management platform for CCTV hosts and reporters under China Media Group, as well as to Long Invest, Houde Fund, CNPC Climate Fund, Longyuan Power Technology (stock code 300105), and Baination (stock code 300291).

Prior to joining Tsinglaw, attorney QIAO worked at Global Law Office, where she served as an Of Counsel on the Corporate M&A and Entertainment Business Team.
