Chen Yihan’s primary practice areas include Corporate and M&A, Compliance, and Securities and Capital Markets. She has a keen understanding of client needs and is skilled at providing comprehensive legal services which are commercially practical and highly implementable.
Since 2018, Chen Yihan has accumulated over five years of experience in law firm and over two years as in-house legal. She is well-versed in the Company Law, Contract Law, Securities Law, and other relevant regulations.
In the Corporate and M&A field, Chen Yihan has led numerous cross-border financing, M&A, restructuring, and equity reorganization projects for high-quality companies across various industries. She is experienced in equity adjustments and employee stock ownership plan (ESOP) setups for VIE and red-chip structures. She has also provided investment-related legal services for well-known venture capital funds. Her clients span low-altitude economy, biopharmaceuticals, hard-tech manufacturing, clean energy, furniture design, and fast-moving consumer goods (FMCG), among others.
In the Compliance field, Chen Yihan has spearheaded the“from-scratch”establishment of corporate compliance systems for multiple companies, giving her deep insight into internal governance and compliant operations. In addition, while serving as retained or special counsel for various enterprises, she has provided a broad range of legal services, including supply chain compliance, optimization of contract template libraries, labor and employment compliance, internal compliance investigations, and liaison with external regulatory authorities.
In the Securities and Capital Markets field, Chen Yihan has acted as on-site lead counsel for several domestic listing projects of industry-leading enterprises. With substantial experience in China’s capital markets, she is capable of offering multi-faceted legal services in capital and securities markets.
Before joining TsingLaw, Chen Yihan served as Head of Legal at a tier 1 low-altitude economy company. Prior to that, she worked at the Corporate Department of Jingtian & Gongcheng LLP (Shanghai office), the Capital Markets Department of AllBright Law Offices (Shanghai office), and the Capital Markets Department of Dacheng Shanghai.

Education
Chen Yihan earned her Bachelor of Laws from the Criminal Investigation School of Southwest University of Political Science and Law. During her undergraduate studies, she also minored in English at Sichuan International Studies University, receiving a Bachelor of Arts. She obtained her Master of Laws from the International Law School of East China University of Political Science and Law.
