Mr. Nan is admitted to practice law in the States of California and New York, and holds a legal professional qualification in the People's Republic of China.
Prior to joining TsingLaw, Mr. Nan practiced for a long period at the joint operation office of a UK Magic Circle firm, leading China “Red Circle” firms, and a well-known U.S. boutique corporate law firm. His practice focuses on cross-border M&A and investments - particularly international auction process transactions - as well as PE/VC/emerging company financings, and general corporate and compliance matters.
Having long specialized in cross-border investment and financing transactions, Mr. Nan has first-hand deal leadership experience in U.S. and China M&A and investment transactions, as well as substantial experience advising on outbound investments and acquisitions across multiple jurisdictions worldwide. He has represented multinational corporations and leading Chinese enterprises in complex international M&A transactions. He has also advised major technology companies, investment funds, and startup companies on equity financings, convertible note/SAFE financings, U.S. Regulation CF crowdfunding, mergers and reorganizations, licensing arrangements, implementation of equity incentive plans (ESOPs), corporate structuring, and a broad range of general corporate and compliance matters. For PE/VC and startup financing transactions, Mr. Nan also brings extensive experience with U.S., Cayman Islands, and China corporate structures.
Mr. Nan is also a deep participant in and contributor to the Silicon Valley tech startup ecosystem. He has served as a judge at a major AI hackathon and regularly attends leading technology panels and founder events in Silicon Valley, where he shares his professional insights.
Education
Mr. Nan received his Juris Master degree from China University of Political Science and Law and his LL.M. degree from Vanderbilt University Law School.
