Mr. Lu is a seasoned attorney specializing in securities and capital markets, corporate and M&A, and commercial dispute resolution. He advises domestic and international clients on IPO and listing projects, mergers and acquisitions, restructurings, and refinancing transactions, as well as on private equity and venture capital investments, equity incentive plans, and corporate governance matters. His dispute resolution practice covers investment and M&A-related litigation and arbitration, corporate control and governance disputes, and private fund controversies.
Before joining TsingLaw Partners, Mr. Lu practiced for many years with Zhong Lun Law Firm, one of China’s leading full-service law firms.
Since beginning his practice in 2013, Mr. Lu has been deeply engaged in the securities and capital markets field and has developed extensive experience in IPO, restructuring, and refinancing transactions. He is skilled at translating clients’ commercial objectives into practical, effective legal solutions.
Mr. Lu has successfully led and participated in numerous high-profile capital markets projects, including those involving TYM (301178), OMS (920080), Hycan Holdings (002787), Hechi Chemical (000953), iREAL (300150), Genvict (002869), HSPC (603353), and SANYOUCORP. (300932). His services cover the entire transaction lifecycle, including: Conducting legal due diligence and advising on business and equity restructurings; Guiding clients through shareholding reforms and corporate governance compliance; Drafting and reviewing financing and transaction documentation; Preparing legal opinions and lawyers’ reports; and Responding to regulatory inquiries and feedback from securities authorities.
Mr. Lu also has extensive experience in private equity and venture capital transactions. He has represented both investors and investee companies in a wide range of financing projects, providing full-spectrum legal support from due diligence, drafting and negotiation of investment agreements, to transaction closing and post-investment compliance.
In the area of civil and commercial dispute resolution, Mr. Lu has acted for clients in complex investment, M&A, corporate governance, and private fund disputes, including: Valuation adjustment mechanism (VAM) and equity repurchase disputes ;Nominee fund shareholding and entrusted investment disputes; Corporate control and governance contests; and Fund investment and management disputes.
Mr. Lu serves clients across a broad range of sectors, including TMT, new energy, biopharmaceuticals, semiconductors, advanced manufacturing, new materials, and new consumer industries.
Mr. Lu’s representation of Hehua Co., Ltd. (000953) in its major asset sale and share issuance with supporting fund-raising was recognized by the Shenzhen Stock Exchange as one of the Top 10 Representative M&A and Restructuring Cases of Listed Companies in 2019.

Education
Mr. Lu obtained his Bachelor of Laws (LL.B.) degree from the School of Economic Law, Northwest University of Political Science and Law.
