Xiaoyu Xu is licensed to practice law in New York and has over a decade of experience in providing foreign-related legal services. She advises life sciences, healthcare, and high-tech companies across all stages of their lifecycles. With substantial experience in strategic transactions, her expertise includes:

Initial Public Offerings in Hong Kong and the U.S., and Compliance & Governance for Listed Companies. Xiaoyu has represented companies including RemeGen Pharma (9995.HK), Keymed Biosciences (2162.HK), Jacobio Pharmaceuticals (1167.HK), and YZY Biopharma (2496.HK) in their IPOs on the Hong Kong Stock Exchange. She has also advised investment banks, including Goldman Sachs, Morgan Stanley, CICC, CITIC Securities, and Jefferies, on Hong Kong IPOs for clients like Duality Biologics (9606.HK), Laekna Therapeutics (2105.HK), and Insilico Medicine. Additionally, she represented VIPKid in its proposed Nasdaq IPO and provides ongoing compliance support to multiple U.S.-listed Chinese companies.

IP Licensing and Collaboration. Xiaoyu advised FutureGen Biopharmaceutical in its global license agreement with AbbVie to develop FG-M701, a TL1A antibody; advised Zion Pharma in Roche’s acquisition of global rights to ZN-A-1041, a blood-brain-barrier-penetrant oral HER2 TKI; advised Impact Therapeutics in its global license and collaboration agreement with Eikon Therapeutics for PARP1 selective inhibitors; advised InnoRNA in its global strategic collaboration with BeiGene to develop mRNA-LNP therapeutics; and advised Vivo Capital in its global license agreement for exclusive rights to develop and commercialize four of Arrowhead’s RNA interference (RNAi) therapeutics in Greater China.

Cross-border M&A, Venture Capital Financing, Corporate Formation, and Other Corporate Matters. Xiaoyu represented renowned investment funds including Bertelsmann Asia Investments, Sequoia Capital, JAFCO Investment (Asia Pacific) Ltd. in their financing in start-ups like Tantan, Cloudwise Technology, EasyPrint and JianShi Technology. She also represented TTM Technologies, Inc. (NASDAQ: TTMI) in the sale of substantially all of its China-based mobility business to Chinese consortium AKM Meadville Electronics (Xiamen) Co., Ltd. Additionally, she provided multinational corporations and domestic companies in China with day-to-day legal support.

Prior to joining TsingLaw, Xiaoyu Xu worked with top U.S. law firms including O’Melveny & Myers LLP and Cooley LLP.
